Player Participation Agreement & Terms and Conditions

1. LEAGUE DESCRIPTION

The Gillie & Wallo Sports League is a multi-sport cultural competition property featuring elite, street-level athletes, entertainers, and influencers. The inaugural event is a 64-player, 1-on-1 basketball competition scheduled for March 21, 2026 (the "Event").

The League is produced for live competition, recorded media distribution, digital broadcast, streaming, sponsorship activation, and promotional use across all media platforms worldwide.

2. ELIGIBILITY REQUIREMENTS

To participate, Player represents and warrants that:

• Player has never been drafted into the NBA.
• Player has never played in the NBA or NBA G-League.
• Player is at least eighteen (18) years of age.
• Player is not under any contractual restriction prohibiting participation.
• Player is physically capable of participating in competitive athletic activity.
• Player will provide valid identification upon request.
• The League reserves the right to disqualify any Player who fails to meet eligibility criteria.

3. COMPETITION FORMAT

Player acknowledges and agrees:

• Field of 64, seeded 1-64.
• 1-on-1 elimination format.
• Games are 8 minutes or first to 12 points (1s and 2s), whichever occurs first.
• Most points at time expiration wins.
• Rules, seeding, and structure are determined solely by the League.
• The League may modify format, schedule, or rules at its discretion for safety, broadcast, or operational purposes.
• All League decisions are final and binding.

4. PRIZE POOL

Total Prize Pool: $150,000

Prizes:

• Champion: $100,000
• Runner-Up: $25,000
• 3rd Place: $12,500
• 4th Place: $12,500
• Paid within 30 days of official results.
• Subject to applicable tax withholding.
• Player is solely responsible for all tax obligations.
• Prizes may be forfeited if Player violates this Agreement or League rules.

5. NO EMPLOYMENT RELATIONSHIP

Player acknowledges:

• Participation does not create an employment relationship.
• Player is not an employee, partner, or agent of the League.
• Player is not entitled to benefits, wages, or compensation beyond prize winnings (unless separately agreed in writing).

6. ASSUMPTION OF RISK

Player understands that participation involves inherent risks including:

• Physical injury
• Permanent disability
• Death
• Property damage
• Player voluntarily assumes all risks associated with participation.

7. MEDICAL REPRESENTATION

Player certifies that:

• They are in good physical condition.
• They have no medical condition preventing safe participation.
• They will disclose any injuries prior to competition.
• The League may require medical clearance.

8. RELEASE OF LIABILITY

To the fullest extent permitted by law, Player releases and holds harmless:

• Gillie
• Wallo
• FanUp
• The League entity
• Sponsors
• Venue operators
• Employees, contractors, and affiliates
• from any claims, damages, liabilities, or causes of action arising from participation, except in cases of gross negligence or willful misconduct.

9. MEDIA, LIKENESS & CONTENT RIGHTS

Player grants the League and its assigns:

• Unlimited, worldwide, perpetual, irrevocable rights to record, film, photograph, stream, and distribute Player's name, image, likeness, voice, persona, and performance.
• Rights to use footage for marketing, sponsorship, advertising, documentaries, streaming distribution (including Netflix or similar platforms), social media, merchandise, and promotional campaigns.
• Rights to edit, modify, reproduce, or monetize content without additional compensation.
• Player waives any right to inspect or approve final content.
• No additional compensation shall be owed for media use unless separately agreed in writing.

10. SPONSOR & BRAND INTEGRATION

Player agrees:

• To wear League-provided jerseys and sponsor-branded materials.
• Not to display unauthorized competing brand logos during the Event.
• To reasonably cooperate in sponsor-related content (interviews, social posts, activations).
• The League reserves sole discretion over sponsor placements.

11. CODE OF CONDUCT

Player agrees to:

• Compete with integrity and sportsmanship.
• Refrain from violence beyond gameplay.
• Avoid unsportsmanlike conduct, hate speech, harassment, or illegal behavior.
• Comply with venue rules and League policies.
• The League may disqualify Player for misconduct without prize eligibility.

12. GAMBLING & MATCH INTEGRITY

Player agrees:

• Not to bet on the Event.
• Not to influence outcomes for financial gain.
• Not to share inside information.
• Violation results in permanent ban and forfeiture of prizes.

13. CONFIDENTIALITY

Player agrees not to disclose:

• Seeding decisions prior to official announcement.
• Internal League strategies.
• Sponsor deal terms.
• Production details.

14. FORCE MAJEURE

The League is not liable for cancellation or delay due to:

• Weather
• Venue issues
• Government orders
• Acts of God
• Broadcast complications
• Safety concerns
• The League may reschedule or cancel the Event at its discretion.

15. INDEMNIFICATION

Player agrees to indemnify and hold harmless the League from claims arising from:

• Breach of this Agreement
• Misrepresentation
• Player misconduct

16. DISPUTE RESOLUTION

• Governing Law: State of New York.
• Any disputes shall be resolved through binding arbitration.
• Player waives right to jury trial.
• No class actions permitted.

17. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties and may only be modified in writing signed by both parties.
